1. Introduction and acceptance
These Terms of Use ("Terms") govern your access to and use of the cont.ee platform, including the website at cont.ee, the application at app.cont.ee, and all related services, APIs, and documentation (collectively, the "Service"), operated by Atenea Labs OÜ, registry code 16668881, registered at Sakala tn 7-2, 10141 Tallinn, Estonia ("we", "us", "our", "Atenea Labs").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, you must not use the Service.
2. Service description
cont.ee is an AI-assisted accounting and financial intelligence software platform designed for Estonian companies (primarily OÜ entities). The Service provides:
- Bank account connectivity and transaction synchronisation via Open Banking (PSD2)
- AI-assisted transaction classification and bookkeeping
- Double-entry ledger management
- Document storage and evidence management with OCR extraction
- VAT return (KMD, KMD INF) and income tax (TSD) draft preparation
- Dividend calculation and distribution modelling
- Financial reporting and period close workflows
- Invoicing and receivables tracking
- Fixed asset register and depreciation schedules
- AI-powered financial Q&A grounded in your company data
3. Nature of the Service — important disclaimers
cont.ee is software, not an accounting firm, tax advisory practice, or audit firm.
The Service assists you in organising your accounting records, maintaining books, preparing draft compliance outputs, and answering questions about your company finances. However:
- The Service does not provide tax advice, legal advice, or financial advice.
- All outputs generated by the Service — including AI classifications, tax draft calculations, journal entries, and financial reports — are drafts and proposals that require review and approval by a qualified person before they are relied upon or submitted to any authority.
- You are solely responsible for the accuracy and completeness of your accounting records and tax filings.
- You should consult a qualified accountant, tax advisor, or legal professional for specific accounting, tax, or legal matters.
- The Service does not submit tax declarations or other filings to the Estonian Tax and Customs Board (EMTA) or any other authority on your behalf. Filing is your responsibility.
4. Eligibility and access
The Service is currently in private beta and available by invitation only. Access is granted at our sole discretion. We reserve the right to accept, decline, or revoke access at any time without obligation to provide a reason.
To use the Service, you must:
- Be at least 18 years of age
- Be an authorised representative of the company whose data you manage through the Service
- Provide accurate and complete registration information
- Maintain the security of your account credentials
5. User accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use a strong, unique password
- Enable multi-factor authentication (MFA) when available
- Notify us immediately at security@cont.ee if you suspect unauthorised access to your account
- Not share your account credentials with others
We may suspend or terminate your account if we detect suspicious activity, security breaches, or violations of these Terms.
6. Open Banking and bank connectivity
The Service connects to your bank accounts through Enable Banking OY, a licensed Account Information Service Provider (AISP) under PSD2. By initiating a bank connection, you acknowledge and agree that:
- You will be redirected to your bank's secure environment to grant explicit consent for account information access.
- Consent covers access to account balances and transaction history only. The Service does not initiate payments.
- Consent is time-limited (maximum 90 days) and must be renewed periodically.
- You may revoke consent at any time through the Service or directly with your bank.
- Bank data is used exclusively for accounting, reconciliation, and tax preparation purposes within the Service.
- We do not store your bank login credentials. Authentication is handled entirely by your bank.
- Enable Banking processes data as a technical intermediary under PSD2 and their own terms and privacy policy.
- Bank data availability, accuracy, and timeliness depend on your bank and Enable Banking. We are not responsible for delays, errors, or interruptions in bank data feeds.
7. AI-assisted features
The Service uses artificial intelligence (AI) to assist with accounting tasks. By using AI features, you acknowledge and agree that:
- AI outputs (transaction classifications, tax calculations, financial answers, anomaly flags) are proposals and suggestions, not definitive accounting or tax determinations.
- You are responsible for reviewing, approving, or rejecting all AI-generated proposals before they affect your accounting records.
- AI confidence scores indicate the system's estimated reliability of a proposal but do not guarantee accuracy.
- Certain sensitive items (dividends, fringe benefits, related-party transactions, board remuneration) always require explicit human approval regardless of AI confidence.
- AI processing involves sending relevant financial data to third-party LLM providers (currently Azure OpenAI) under enterprise agreements that prohibit the use of your data for model training.
- AI answers are grounded in your structured financial data and are not general financial advice.
- We continuously improve AI accuracy but do not guarantee error-free classifications or calculations.
8. Your responsibilities
As a user of the Service, you are responsible for:
- Data accuracy: Ensuring that the data you input, upload, or import into the Service is accurate and complete.
- Review and approval: Reviewing all AI-generated proposals, journal entries, tax drafts, and reports before relying on them or submitting them to any authority.
- Tax compliance: Filing your tax declarations (KMD, TSD, annual reports) with the relevant authorities on time. The Service prepares drafts; you are responsible for filing.
- Professional advice: Seeking qualified professional advice for complex accounting, tax, or legal matters.
- Authorisation: Ensuring you have proper authorisation to manage the company data you access through the Service and to grant Open Banking consent for the bank accounts you connect.
- Acceptable use: Using the Service only for lawful business purposes related to accounting and financial management of your Estonian companies.
9. Prohibited use
You may not:
- Use the Service for any unlawful purpose, including money laundering, tax evasion, or fraud
- Access or attempt to access data belonging to other users or companies
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools (bots, scrapers) to access the Service except through our documented APIs
- Attempt to circumvent security measures, entity isolation, or access controls
- Upload malicious files, viruses, or harmful content
- Resell, sublicense, or redistribute access to the Service without our written consent
- Use the Service to process data for companies you are not authorised to represent
10. Intellectual property
All intellectual property rights in the Service — including software, design, trademarks, documentation, and AI models — are owned by Atenea Labs OÜ or its licensors. These Terms do not grant you any ownership rights in the Service.
You retain ownership of your data. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing and improving the Service.
11. Data protection and privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
Where you input data about third parties (counterparties, employees, shareholders) into the Service, you represent that you have a lawful basis to process that data and that you will comply with applicable data protection laws.
12. Data retention and accounting records
The Estonian Accounting Act requires preservation of accounting records for a minimum of 7 years. Accordingly:
- Accounting documents, journal entries, tax drafts, and evidence links are retained for at least 7 years from creation.
- Documents linked to approved journal entries or filed tax drafts cannot be deleted during the retention period.
- Deletion of documents within the retention period is restricted to soft-delete (marked as deleted but preserved in storage).
- The audit trail (domain events) is append-only and cannot be modified or deleted.
Upon account termination, we will retain accounting records as required by law and anonymise personal identifiers where possible.
13. Service availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice where possible)
- Unplanned outages or technical issues
- Third-party service disruptions (banking APIs, cloud infrastructure, AI providers)
- Force majeure events
We are not liable for any losses arising from Service unavailability.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that AI classifications, tax calculations, or financial reports generated by the Service are accurate, complete, or suitable for filing with any authority.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
- We are not liable for any penalties, fines, interest, or other consequences arising from late, incorrect, or incomplete tax filings, even if the Service was used to prepare the relevant drafts.
- We are not liable for errors, delays, or interruptions in bank data provided through Enable Banking or your bank.
15. Indemnification
You agree to indemnify and hold harmless Atenea Labs OÜ, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your failure to review and verify AI-generated outputs before relying on them
- Inaccurate or incomplete data you provide to the Service
- Your failure to comply with applicable tax, accounting, or data protection laws
- Unauthorised access to your account due to your failure to maintain credential security
16. Fees and payment
During the private beta period, access to the Service may be provided free of charge. We reserve the right to introduce paid plans in the future. If we do, we will provide at least 30 days' notice and you will have the option to accept the new terms or terminate your account.
17. Termination
Either party may terminate the use of the Service:
- By you: You may request account termination at any time by contacting support@cont.ee. Upon termination, we will provide an export of your data in a machine-readable format upon request.
- By us: We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice where possible.
Upon termination:
- Your access to the Service will be revoked.
- Open Banking consents associated with your account will be revoked.
- Accounting records will be retained as required by law (minimum 7 years).
- Personal identifiers will be anonymised where legally permissible.
18. Modifications to these Terms
We may modify these Terms from time to time. Material changes will be communicated to registered users via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and request account termination.
19. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles.
Any disputes arising from or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of Harju County, Estonia.
20. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
21. Entire agreement
These Terms, together with the Privacy Policy and any additional agreements entered into for specific features, constitute the entire agreement between you and Atenea Labs OÜ regarding the use of the Service.
